Neodyland Basic Terms of Service

These are additional terms that you must comply with when using Neodyland’s services, as linked from each individual service.

Application

These terms apply between the voluntary organization Neodyland (hereinafter referred to as “Neodyland” or “our organization”) and the users of the services provided by Neodyland (hereinafter “users”). Where separate terms of service exist for an individual service, you must agree to both these terms and those separate terms (hereinafter “individual terms”).

These terms and the individual terms apply to all relationships between our organization and users.

Registration

Users may register for our organization’s services in accordance with the method described in the individual terms.

Prohibited Acts

A user shall be deemed to have violated these prohibitions if, in using our organization’s services, the user has engaged in any of the acts set out below.

1. The user has violated the laws or regulations of Japan.
2. The user has previously had their eligibility to use our organization’s services revoked.
3. The user has submitted false information to our organization.
4. The user is or has been, whether in the past or at present, part of a criminal organization, or is or has been in a cooperative relationship with one.
5. The user has engaged in acts that interfere with our organization’s provision of services.
6. The user has collected or accumulated personal information or similar data of other users of our organization.
7. The user has caused disadvantage, damage, or discomfort to other users of our organization or to any third party.
8. The user has made commercial use of, or assisted in the commercial use of, information obtained through the use of our organization’s services.
9. The user has conducted business activities within the services by a method not permitted by our organization.
10. The user has used the trademarks, logos, or similar marks of our organization or related organizations for the purpose of damaging their reputation.
11. The user has engaged in solicitation for personal encounters on our organization’s services.
12. The user has attempted money laundering on our organization’s services, or has defaulted on a payment.
13. The user has failed to respond to communications from our organization for an extended period.
14. The user is a minor and has used our organization’s services without the consent of a guardian. If it comes to light that a user has violated these prohibitions, our organization has the right to revoke that user’s eligibility to use our organization’s services, regardless of the reason.

Suspension of the Provision of Services

Our organization may suspend or interrupt the provision of all or part of its services without prior notice to users where it determines that any of the following applies.

1. Where urgent maintenance work on the infrastructure involved in our organization’s provision of services becomes necessary due to the discovery of a serious vulnerability or similar issue.
2. Where the service can no longer be continued due to force majeure such as an earthquake, lightning, fire, power outage, conflict, war, special military operation, or natural disaster.
3. Where our organization otherwise determines that it is necessary to temporarily suspend the provision of services for urgent reasons. Our organization shall bear no liability whatsoever for any damage incurred by users or third parties as a result of the suspension or interruption of the provision of its services.

Disclaimer of Warranties and Limitation of Liability

Our organization makes no warranty, either express or implied, that its services are free from defects in fact or in law (including defects, errors, bugs, infringements of rights, and the like relating to safety, reliability, accuracy, completeness, validity, fitness for a particular purpose, security, and so on).

Our organization shall bear no liability whatsoever for damage incurred by users arising from its services, except in cases of willful misconduct or gross negligence on the part of our organization.

If a dispute arises between a user and another user or a third party in connection with our organization’s services, the user shall resolve it at their own cost and responsibility.

Users acknowledge that all of our organization’s services are provided on a best-effort basis and that no guarantee is given as to availability, continuity, or the like.

Users must also agree to the other disclaimers set out in the individual terms.

Changes to the Content of Services

Our organization may immediately change or suspend the content of its services where an urgent matter provided for in these terms or the individual terms arises, and, where it decides to change or suspend a service as a result of its own internal review, may change or suspend it after notifying users and allowing a reasonable grace period.

Changes to These Terms

Our organization may change the individual terms when it deems it necessary: in accordance with the method described in the individual terms where such a method is described, or, where no such method is described, by posting notice at https://docs.neody.land/news. Likewise, these terms may be changed by posting notice at https://docs.neody.land/news.

Notices and Communications; Change and Deletion of Registration

Notices or communications between users and our organization shall be made by the method described in the individual terms where such a method is described. Where no individual terms exist, notices from users to our organization shall be made via [email protected] or the Neodyland Discord community, and notices from our organization to users shall be made via the Neodyland Discord community.

Using those notification methods, users may change their registration, withdraw from a service, or delete their registration.

Prohibition of Assignment of Rights and Obligations

Users may not assign to a third party, or offer as security, their status under the usage agreement or any rights or obligations under these terms or the individual terms, without the prior written consent of our organization.

Users shall manage their credentials at their own responsibility when using our organization’s services.

Governing Law and Jurisdiction

These terms and the individual terms shall be interpreted in accordance with Japanese law as the governing law.

In the event of a dispute concerning our organization’s services, the court having jurisdiction over the location of our organization’s responsible officer shall be the exclusive agreed court of jurisdiction.
